Terms of Service
These terms govern your access to and use of diagnosly. By creating an account or using the service, you agree to them. If you don't agree, don't use the service.
1. The service
diagnosly provides multi-tenant fleet diagnostics for Windows and an
on-device AI diagnostic assistant. The service includes this website, the
dashboard, the gateway and orchestrator APIs, and the
observer-core agent software.
2. Accounts & eligibility
- You must be at least 16 and able to form a binding contract.
- You're responsible for activity under your account and for keeping your credentials secure.
- You must provide accurate information and keep it up to date.
- You may only install the agent on machines you own or are authorised to manage.
3. Acceptable use
You agree not to:
- Use the service unlawfully, or to access machines without authorisation.
- Attempt to breach, probe, or disrupt the service or other tenants' data.
- Reverse-engineer, resell, or sublicense the service except as expressly permitted.
- Use the service to build a competing product or to circumvent usage limits or billing.
4. Plans, credits & billing
- Paid plans and credit top-ups are billed through Stripe at the prices shown at purchase.
- AI diagnoses consume credits from your balance. Credits are a prepaid entitlement to use the service, not a stored-value or cash instrument.
- Except where required by law, payments and consumed credits are non-refundable. Unused credit balances may be refundable at our discretion.
- You authorise us and Stripe to charge your chosen payment method for amounts you purchase.
- We may change prices prospectively; changes don't affect credits already purchased.
5. The agent software
We grant you a limited, non-exclusive, non-transferable, revocable
licence to install and run observer-core on machines you're
authorised to manage, solely to use the service. The agent runs with
elevated privileges to perform diagnostics and, where you direct it, to
run remediation commands. You are responsible for the actions you
authorise it to take.
6. AI diagnosis — no warranty
The AI assistant produces analysis and may propose or execute commands on your machines. It can be wrong, incomplete, or out of date. Output is provided for informational purposes and is not professional advice. You are responsible for reviewing any proposed action before relying on it, and you run remediation actions at your own risk. Always keep backups.
7. Intellectual property
We retain all rights in the service, the software, and our brand. You retain all rights in your data. You grant us the limited rights needed to operate the service for you (e.g. to process telemetry and run diagnoses), as described in our Privacy Policy.
8. Disclaimers & limitation of liability
The service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. To the extent permitted by law, diagnosly will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, and our total liability for any claim is limited to the amount you paid us in the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
9. Termination
You can stop using the service and close your account at any time. We may suspend or terminate access if you breach these terms or to protect the service or other users. On termination, your right to use the service ends; provisions that by their nature should survive (e.g. IP, disclaimers, liability) will survive.
10. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory local consumer law provides otherwise.
11. Changes
We may update these terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, notified to you. Continued use after changes take effect means you accept them.
